THE COURT ORDERS THAT:
1. Pursuant to sub-sections 411(4)(b) and 411(6) of the Corporations Act 2001 (Cth) (Corporations Act), the scheme of arrangement between the plaintiff and its members in the form annexed hereto and marked "A" be approved. 2. Pursuant to sub-section 411(12) of the Corporations Act, the plaintiff be exempted from compliance with s 411(11) of the Corporations Act in respect of the scheme of arrangement referred to in Order 1. 3. The members of the Review Committee referred to in clause 7 of the scheme of arrangement referred to in Order 1 above (namely Christopher Atkinson, Brian Maher, Justine Halloran and Andrew Gale) be granted leave for the purposes of s 411(7) of the Corporations Act: (a) to be appointed to administer; and (b) to administer that scheme of arrangement. 4. The Plaintiff have liberty to apply for further orders for the purposes of subsection 411(7) of the Corporations Act in relation to the appointment of any scheme administrator. 5. These orders be entered forthwith.
